Google Analytics: We use Google Analytics to collect information about visitor behaviour on our website. Google Analytics stores information about what pages you visit, how long you are on the site, how you got here and what you click on. Your Session: We use a session cookie to remember your log-in for you and what you’ve actioned/interacted with. These we deem strictly necessary to the working of the website. If these are disabled then various functionality on the site will be broken.
Agreement between Shift (SHIFT DIGITAL LIMITED) and The client
The costs outlined in the project proposal include one set of revisions. Additional revisions/amends will be charged at £100 per hour.
The client shall reimburse all out-of-pocket expenses incurred in performing services under this Agreement to Shift.
Shift will invoice 50% of proposed fees upfront. The remainder, plus and additional fees will be payable no later than 30 days after project proposed elapsed timescales (from start date), or on completion and set live of project. Payment terms are 30 days of invoice date.
Interest will be charged if the agreed payment terms are not met.
The [website/design/email template etc.] will remain the property of Shift until full payment has been received.
Shift requires 10 days notice of change requests in writing. Each request will be reviewed by Shift at its standard rate and will respond with a statement of the availability of personnel and resources as well as the impact of proposed changes on the costs and delivery date. A project Scope Modification Agreement shall then be drawn up to acknowledge changes to original scope.
Shift shall not be obligated to perform any services beyond those called for in the original Project Scope prior to its approval of the Scope Modification Agreement.
All work delivered to the client is considered accepted unless the client notifies to the contrary within 7 days. If the client notifies Shift that it has not met the project specifications, as outlined in the agreed project scope, then Shift will correct or repair.
The Client must provide all project assets (eg. Log-in details, logo, style guidelines, copy/content, images etc) for the project to commence. Delays in providing necessary information, materials or approvals may result in a day-for-day extension of the project’s final deadline.
After completion of the project, ongoing support (including telephone and email consultation and advice) and modifications will be charged at Shift's standard rate.
If your website/software is hosted on a Shift server, we will provide a basic level of server maintenance to ensure online projects are live at all times, Shift is not liable for any lost content or business due to server failures. Shift is not liable for any matters that arise from the client website content or websites responsibilities.
A credit line to Shift and the Shift logo will be added to the work/website/email template. Shift can use the design material and client name (The Client) in connection with the promotion and advertisement of its services as being a client of Shift as marketing and website providers.
Both parties to this agreement shall treat as confidential the terms and conditions of the agreement including propriety information.
Shift is not an employee of the client and is not forming a joint venture or partnership with the client. As an outside supplier of services, Shift is functioning as an independent contractor and is able to bring in its own assistants or agents as needed
If full payment is met, the Website/app/design will become the Clients property. The source code will remain the property of UK BEE MEDIA LTD and cannot be resold or copied without our prior permission.
The client is the data controller and Shift are a data processor, both parties must apply to the requirements set out by applicable rules.
Any data, conversations or information deemed private or confidential is never shared with any third parties or external organisations.
We do not buy or sell personal data. We do not willingly allow our clients to participate in the buying or selling of personal data.
